Affiliate Program Terms

This agreement describes the terms and conditions for participation in the Affiliate Program. In this agreement, the term "Affiliate" refers to you (the applicant). In this agreement, we / us are KShift, Inc. dba Balloon Suite(tm), with whom you are entering this agreement. By applying to the Affiliate Program you are confirming that you have read the agreement and agree to the terms and conditions.
To apply, complete the application form provided. You will promptly be provided an account and promotional links when applying however we reserve the right to review and approve your participation before any commissions are allowed. You will be notified using the email address you include in the application of approval or rejection.
If at the time of your application the parties have an existing advertising or sponsorship agreement where KShift Inc pays you, the existing payments represent a minimum and commissions are not due until and unless they exceed the existing payment amount. At that time, only the Commissions amount in excess of the existing payment agreement will be paid. This section may be modified by mutual written agreement of the parties.
Commissions
For a sale to generate a commission to an Affiliate, the customer must purchase a paid plan on BalloonSuite.com. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links on the website. Properly coded links are the sole responsibility of the affiliate. Commissions can be viewed on the Affiliate Dashboard.
Multiple Commission payment percentages and Effective Terms are available depending on what we offer to you as an affiliate:
- 10% commission on 12 months Effective Term
- 20% commission with unlimited Effective Term
- 20% commission with unlimited Effective Term
Note that an Effective Term, as with all other aspects of the affiliate program may be changed at any time.
Commissions on Google Ads Management services are offered on the monthly minimum service fee only, not on any "percentage of ad budget" or the like.
Payments
To give time for refunds, the commissions are payable 60 days after the payment made by a customer. The commissions are then due when the Affiliates balance reaches a minimum of 100 USD.
The commissions due are paid out via PayPal on the first week of each month.
The Affiliate must provide a United States IRS W-9 or W-8BEN form prior to payment, as well as other documentation or information as we request. If the proper documentation and information is not on file within 30 days of the first payment due date then no payments shall be due and the commission for that payment is forfeited. If documentation requirements change and the affiliate has not provided the updated information no payments shall be due and the commission for that payment is forfeited. Failure to provide updated documentation within 30 days of a request will indicate the termination of this agreement by the Affiliate and no commissions shall be due until and unless a new affiliate request is submitted and approved.
Refunds
In the event a customer requests a refund for a transaction for which the Affiliate has earned commissions, any commissions earned on the refund amount will be deducted from the Affiliate’s balance.
Usage and Obligations
Affiliates are permitted to use our brand and marketing resources available in the Press section of the website. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials.
The Affiliate will make sure all the information shared about our products and services is accurate.
The Affiliate will not imply that they are acting on our behalf. The Affiliate will never represent themselves, us, or their relationship with us in a false or misleading way.
The Affiliate will not use online paid advertising to promote their Affiliate links.
The Affiliate will not manipulate the affiliate tracking to get attributed web traffic they didn't directly generate.
The Affiliate will not engage in the distribution of an unsolicited bulk email mentioning or referencing us.
The Affiliate will not use our brand, branded terms, Trademarks, or domain names in whole or part to secure or use marketing assets such as domain names or Facebook accounts to promote their Affiliate links. Any assets that violate these terms shall be our property in whole and no payment shall be due for them.
The Affiliate is not permitted to refer themselves or someone in their company or office. The Affiliate is not permitted to create an account on behalf of someone else.
Termination
Either party has the right to terminate the agreement immediately without prior notice.
If the Affiliate terminates the agreement, no further commissions will be paid for any past or future customer transactions.
If we choose to terminate the agreement, the remaining balance will be paid to the affiliate within 60 days of termination.
In case we terminate the agreement for violation of the Affiliate Program Terms, the commissions will not be paid or owed.
Governing Law
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Washington.
Modification
We may modify any of the terms and conditions within this agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures, documentation and any other Affiliate Program rules or requirements. Changes will be indicated with an "Updated Date" or "Last Modified" or consistent statement on this page. Continuing to participate in the program, send visitors using your affiliate link or accept payments means that you agree to the new terms.
